Please carefully read the following terms and conditions (the “Terms of Service”) before using or accessing the services (the “Service”) offered on LieFlat platform/website (the “Platform”) through any channel (including but not limited to equipment provided by third parties).

When you first use or access the Platform, you will be deemed to have fully acknowledged and agreed to comply with these Terms of Service.

If you do not agree to these Terms of Service, please refrain from Browse the Platform or accessing or using the Service provided herein.

If you continue to browse the Platform or access and use the Service, you will be deemed accepting these Terms of Service.

Service Framework

Business Model:

The Platform provides software services that utilize a proprietary API bot to connect with your designated virtual asset trading platform(s) (the “Trading Platform(s)”, including but not limited to: Bitfinex, https://www.bitfinex.com/; the Trading Platforms are limited to those supported by the Service), thereby facilitating the automated matching for virtual asset lending and borrowing.

All contents, regulations, and investment risks related to lending rates, margin/liquidation, operations of the Trading Platform are governed solely by the Trading Platform and are not associated with the Platform or the Services.

All content on the Platform is for reference only. The Platform does not store or retain any financial transactions between you and the Trading Platform.

You are free to decide whether to use the Service, and you acknowledge and agree to carefully evaluate it before proceeding.

If necessary, you shall consult other professional advisors.

Fee Structure:

The Platform operates on a subscription model. Please refer to the relevant plans at: [ Link ].

All fees payable on the Platform are only accepted via virtual assets paid to a designated address.

Any payment not made in the manner or content specified by the Platform does not constitute valid payment.

Membership Qualification and Registration

Qualification Requirements:

You must be of legal age (that is, 18 years old or the age of majority as per applicable law, whichever is higher) and have full legal capacity to register as a member on the Platform.

If you are a minor or lack full legal capacity under the applicable law, you will not be able to register for or use the Service.

The Service is provided based on membership levels and subscription content.

You acknowledge and agree that you must meet the specific criteria, qualifications, and requirements set by the Platform before you can upgrade and access the corresponding tiered membership services.

Registration Information:

The Platform will only allow registered members who have completed the registration process to use the Service.

You are required to provide accurate, authentic, complete, and up-to-date personal information per the requirements of the Platform and/or the needs of the Services, to complete the registration and/or upgrade process in a timely manner.

You acknowledge and agree that the Platform may verify and authenticate your identity through third-party software or applications.

Member Rights and Obligations

Usage Permission:

You acknowledge and agree that the Platform shall have the sole and ultimate discretion to approve account registration applications, grant membership status, and activate the Service.

You further agree and represent not to raise any claims or objections regarding the exercise of such discretion.

Upon becoming a member of the Platform and fulfilling the necessary procedures or conditions (including but not limited to subscription level upgrades), you will obtain designated permissions to use the relevant services on the Platform based on the approved registration.

You also agree to abide by applicable laws and regulations, as well as all terms, policies, and regulations of the Platform or the Service.

You agree that in order to provide better service quality, protect your rights and interests, and ensure the access of other users, the Platform may collect, process, utilize, store, disclose, suspend, cancel or terminate transactions and services to you as necessary, or restrict your membership privileges and relevant usage functions.

You acknowledge and confirm that you are registering yourself, and the membership obtained is strictly for personal use.

You may not transfer, lend, assign, bequeath or provide the same to others for use in any manner, nor may you apply for membership on behalf of or as an agent of others.

Account Modifications and Deletion:

You may apply to change your membership level at any time, and you also have the option to delete your registered membership account whenever you choose.

You acknowledge and agree that upon the deletion of your account for any reason, you will no longer have access to any features of the Platform and its Services.

Furthermore, you forfeit all privileges and are not entitled to request the restoration of your account or any data retained on the Platform prior to your deletion (personal data will be handled in accordance with the provisions of the Privacy Policy).

Data Maintenance:

You agree to promptly update and maintain your registration information and membership details to ensure their accuracy and completeness.

You affirm that all information provided by you is true, complete, accurate and up-to-date.

Should the Platform discover that any information provided by you violates the aforementioned requirements or contains misleading or false statements, we reserve the right to immediately terminate, suspend or directly cancel your membership status, and, when necessary, further prohibiting or restricting you from reapplying for registration and becoming our member.

Account Security:

You are responsible to keep your account information and password (including but not limited to account, API keys, and the authentication information you use to access or utilize the Service) confidential and shall take protective measures, including but not limited to using data that are not easily identifiable or guessable.

You are not allowed to transfer or disclose your account information to third parties in any way.

Any activities conducted in your account will be deemed as your actions, and you agree to take full responsibility for such activities.

If you discover that your account information and password have been leaked, stolen, or there is anything else that affects the security of your password or account, you must immediately notify the Platform.

Upon receiving your notification, the Platform will suspend your membership privileges and take necessary protective measures;

If deemed necessary by the Platform, it may terminate the membership privileges associated with the compromised account, and, when necessary, further prohibiting or restricting you from reapplying for registration and becoming our member.

Legal Liability and Cooperation Obligations:

You acknowledge and agree that the Platform only assists through code in the provision of goods or services offered by businesses or individuals connecting to other virtual asset services, and does not provide services such as the exchange of virtual assets for fiat currency, the exchange between virtual assets, the custody of virtual assets, or any other virtual asset services.

Thus, the Platform does not qualify as a business or individual providing virtual asset services as defined in Article 5 of the Money Laundering Control Act, and neither the Platform nor the Service is subject to any regulations pertaining to virtual asset service providers.

You assume full responsibility for your account, membership status, information disclosed on the Platform, and any content provided through the use of the Service.

You agree to assume all risks arising from any information that is not true, complete, accurate, or up-to-date.

If you violate these Terms of Service or engage in behavior that, in our reasonable judgment, violates (or will violate) laws or any policies, terms, mechanisms, or regulations of the Platform, the Platform may take necessary measures, including restricting your usage privileges, terminating, or even revoking your membership status, and, when necessary, further prohibiting or restricting you from reapplying for registration and becoming our member.

If, due to any reasons attributable to you, the Platform or related personnel (including former employees, collaborators, the “Affiliated Personnel”) are subject to any third-party claims or assertions, or are under investigations, inquiries, or any legal proceedings by regulatory authorities or law enforcement agencies, you acknowledge and agree to make every necessary and reasonable effort to cooperate with the Platform in handling and responding to the relevant procedures.

Furthermore, you agree to, upon obtaining prior written consent from the Platform or its Affiliated Personnel, act on their behalf in negotiations or legal proceedings.

Following the above, in the event that the Platform or its Affiliated Personnel incur any damages (including suffered damages, lost profits, litigation fees and attorney's fees) as a result, you shall bear the responsibility for compensation.

Privacy Policy and Personal Data Protection

The Platform respects the privacy rights of users, and will process your personal data in accordance with our Privacy Policy.

When using the Platform and its Services, you are prohibited from engaging in any activities that violate the personal data or privacy of others.

It is imperative to adhere to the Privacy Policy of the Platform.

If you disagree, please don’t use any of the Platform and the Services.

Intellectual Property Rights

You acknowledge and understand that the intellectual property rights of all content on the Platform (including but not limited to text, pictures, trademarks, logos, layout design, interfaces, web page connection modules or grammar) belong to the Platform or related rights holders.

You may browse, copy, download or share the information on the Platform, but only for personal use and informational purposes, and shall not use it for profit or other improper activities.

When Browse, copying, downloading or sharing information from the Platform, all the statements of copyright, intellectual property and other rights shall be retained.

Without prior written consent from the Platform and relevant rights holders, you are not permitted to copy, modify, distribute, disseminate, display or utilize any content on the Platform, unless in situations mentioned above.

You are prohibited from reverse engineering, compiling, disassembling or attempting in any way to obtain the source code of any or all of the content on the Platform, or spreading malicious software, programs or viruses, or interfering with, destroying or damaging any content on the Platform in any way causing the risk of, or affecting, the content on the Platform.

Service Changes and Suspensions

Service Changes:

You acknowledge and agree that, to ensure the continuous provision of high-quality services and compliance with relevant laws, or due to changes in third-party businesses/services that may affect the Platform or the Service, the Platform reserve the right to modify, suspend or terminate the provision of Services and these Terms of Service, or modify fee standards and any rules at any time.

The contents modified, supplemented or changed will not be notified individually except by publishing them on the Platform’s webpage or through other means deemed appropriate;

the modified, supplemented or changed terms shall still constitute a part of these Terms of Service.

If you continue to use after the Platform, its Services, these Terms of Service, fee standards or related transaction systems are modified, supplemented or changed, you will be deemed to have read, understood and agreed to accept such modifications or changes;

if you cannot comply with the contents of these Terms of Service, please cease using the Platform and its Services immediately.

Continued use of the relevant services will be considered as your acceptance of the modified or changed content.

Service Suspension:

You acknowledge and agree that, for the purpose of maintaining the quality of the Platform or its Services, or due to changes in third-party businesses/services that may affect the Platform or the Service, the Platform may maintain, modify, suspend or update all or part of the services.

During such actions, certain functions of the Platform may be limited, restricted, suspended or terminated.

You acknowledge and agree that for any aforementioned maintenance, modification, suspension or update, notices may be provided through announcements on the Platform's webpage or by other means deemed appropriate, without any individual notifications.

Prohibited Conduct

All members are prohibited from engaging in the following activities through the Platform:

Forge, fabricate or alter account registration information.
Infringe the copyright, trademark or other rights of others (including but not limited to name, likeness, image or content of others without consent), or create, copy, reproduce, publish, modify or use without authorization any content not belonging to you or without express written consent of the content owner (including, but not limited to, taking photos or screenshots).
Attempt to decompile, reverse engineer or in any other way to exploit the source code of the Platform.
Interfere/attack the Platform’s servers, networks or system-related operations, including but not limited to hacker attacks, spam or service attacks, destroying or circumventing firewalls, encryption mechanisms, security authentication procedures, etc., or attempting to access content without explicit authorization or subscription.
Attack/monitor the Platform and any of our servers, networks and related systems through automated processes, tools or programs (including but not limited to web crawlers, AI, robots and automation scripts); or use malicious or illegal methods or other improper means to detect, collect or obtain any content or information from the Platform.
Manipulate the Platform through technical means or intentional exploitation of the vulnerabilities in the Service.
Engage in any activities through the Platform or using the information obtained from the Platform in violation of these Terms of Service or any laws and regulations, or any behavior contrary to public order or good morals (based on the applicable jurisdiction).
Any content or behavior that is deemed inappropriate in the reasonable judgment of the Platform.

If the Platform discovers (including without limitation through system detection or reporting by third parties) any violation of laws, public order or good morals, any incompliance of policies and regulations of the Platform, or any infringement of the rights of others or hinderance to the use of others, the Platform may take necessary measures, including but not limited to restricting your usage rights, terminating or even canceling your membership.

This action does not exclude further prohibiting or restricting you from reapplying for registration and becoming our member.

The Platform may launch investigations on their own or entrust third parties or request judicial authorities to investigate any suspicious or alleged abuse or illegal use of the Platform.

You acknowledge and agree that once you violate this Article, you shall be liable for damages (including suffered damages, lost profits, litigation fees and attorney's fees) to the Platform.

Disclaimer

The Platform only provides API bot connection services for specific services of the Trading Platform.

Members shall not use this Service for any criminal or illegal activities.

Except for those attributable to the Platform’s intentional act or gross negligence, the Platform or its Affiliated Personnel shall not be held liable under any circumstances.

Unless otherwise provided by law, the maximum of the Platform ’s liability to you shall not exceed the total amount of all subscription fees paid during the one-year period preceding the occurrence of the event.

The service region of the Platform is limited to Republic of China (Taiwan);

if users from other regions use the Platform on their own, the Platform may decide whether to provide services based on its local policies, and it is the users sole responsibility to confirm whether they are permitted by law to use the services of the Platform in their location and to bear the legal risks of using the Service.

You are entitled to choose whether to use the Platform and the Service.

However, once you choose to use the Platform/Services, you agree that you assume and bear the risks of possible suspension, shutdown, damage, data missing, damage, leakage, loss, theft or tampering of any system, equipment or function in the Platform or the Service, or any losses and any other risks arising therefrom.

You agree, acknowledge, and understand that, while the Platform will take reasonable and necessary security measures, it cannot guarantee, promise or control the security, timeliness and continuity of the network service, nor guarantee that the Service will meet all your requirements.

You agree, acknowledge, and understand that the Platform does not guarantee the safety, accuracy, reliability, applicability, completeness and timeliness of any electronic communications/messaging, software/hardware or any system equipment used or involved in the Platform, nor does it guarantee that any optimization, updates or adjustments will be made.

The Platform may involve external websites, domains, software/hardware equipment or any online resources (collectively, the “External Resources”).

However, the Platform does not provide, either directly or on behalf of others, the representations and warranties for such External Resources.

You agree to take relevant protective measures on your own, and acknowledge and understand that the use of these external resources may expose you to inappropriate, harmful, wrong or misleading web pages, websites, viruses or malicious programs that may violate relevant laws and regulations.

You agree that the Platform are not responsible for (1) the security, accuracy, reliability, applicability, completeness and timeliness of External Resources;

(2) any products, services or any content provided by External Resources;

and (3) any products, services, or any content related to specific cryptocurrency exchanges.

You acknowledge and agree to assume all risks associated with the use of the Service to operate virtual assets on the Trading Platform, and you have fully understood that virtual assets possess the following characteristics or potential risks prior to using the Service.

Any losses incurred are not related to the Platform, and you agree to assume full responsibility for them:

The value of virtual assets classified as stablecoins may be decoupled from the value of fiat currencies.
The issuer of virtual assets may experience operational or financial crises, hacking incidents, legal proceedings, seizures, business suspensions, administrative freezes, bankruptcy, restructuring, dissolutions, or similar procedures, or may be poised to initiate or has been subjected to similar proceedings, resulting in the inability of the virtual asset to operate normally.
The spot trading, related options/contract trading, derivatives or their trading pairs involving virtual assets may be suspended or delisted by the relevant cryptocurrency exchanges.
The exchanges operating spot trading, options/contract trading, or derivatives involving virtual assets may be subject to operational or financial crises, hacking incidents, legal proceedings, seizures, business suspensions, administrative freezes, bankruptcy, restructuring, dissolutions, or similar procedures, or may be poised to initiate or has been subjected to similar proceedings, resulting in the inability of virtual asset trading to operate normally.
The exchanges operating spot trading, options/contract trading, or derivative products experiences significant trading errors, including but not limited to errors derived from aggregators, matching errors, quotation errors, and losses caused by forced liquidations.
Losses occur due to the shutting down of blockchain, 51% attack, emergency hard fork, or similar systemic failures.
The virtual assets, related transactions or services may become incapable to be performed or executed, or have a likelihood of non-fulfillment or non-execution, due to the enactments or amendments of national and local laws, policies, judicial interpretations, and other legal regulations.

Miscellaneous

Order of Precedence:

In the event of other contractual relationship between you and the Platform, unless there are specific agreements that shall be complied with their provisions, matters not covered therein shall still be subject to the Terms of Service, and the policies, terms and conditions, mechanisms or regulations of the Platform.

No Immunity:

Any failure or delay of the Platform or its Affiliated Personnel in exercising any action required by these Terms of Service shall not constitute a waiver of, exemption of any liabilities, or otherwise impact the right of the Platform or its Affiliated Personnel’s to require you to fulfill these Terms of Service.

If the Platform or its Affiliated Personnel waives or defers the exercise of any part of a claim for your violation of these Terms of Service, such wavier or deferral does not indicate that the Platform or its Affiliated Personnel have waived the rights to claim against you for any subsequent violations.

Transfer and Assignment:

Without prior written consent from the Platform, you are not allowed to transfer or assign in whole or in part these Terms of Service, or the rights and obligations arising herefrom to a third party.

Severability:

If any provision of these Terms of Service is rendered invalid due to conflict with the law, the remainder of these Terms of Service shall not be affected thereby.

Other terms and conditions, policies, guidelines, etc., required for users to comply with by the Platform shall constitute a part of these Terms of Service, having the same effect as these Terms of Service.

Change of Control:

In the event that the Platform is acquired or merged by third parties (for the avoidance of doubt, this also includes the preparatory phase for the execution of mergers or acquisitions), we have the right, in any situation, to transfer the information collected from you to the acquirer, merging party and joint venture party as part of such merger, acquisition, sale, or other change of control.

Governing Law:

The interpretation and application of these Terms of Service shall be governed by the laws of the Republic of China (Taiwan).

Disputes Resolution:

Any dispute arising from, out of or in connection with these Terms of Service shall be resolved amicably through negotiation in a good faith between the parties.

If the dispute is not solved through negotiation, the parties agree to the exclusive jurisdiction of the Taiwan Taipei District Court as the court of first instance.

Language:

The original text of these Terms of Service is in Traditional Chinese.

Any translation of these Terms of Service into any other languages is for reference only and shall not be used to interpret or apply these Terms of Service.

In the event of any discrepancies between the Chinese version of these Terms of Services and any translated version, the Chinese version shall prevail.

Notification:

Any contacts we have with you regarding the Service will be conducted through the Platform or in a manner deemed appropriate.
